Terms of Service

These Terms of Service (“Terms”) govern your use of Skeptor’s websites, APIs, applications, and related tools (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

Verycode Lab (“Verycode Lab,” “we,” “us,” “our”) operates the Skeptor product and related websites, APIs, and applications. In these Terms, “Skeptor” refers to the Services provided by Verycode Lab.


1. Acceptance of Terms

By using the Services, you agree to be legally bound by these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2. Eligibility & Scope

  • The Services are intended for individuals 18 years or older.
  • We may add, remove, or modify features from time to time.

3. Accounts & Organization Responsibility

If you create an account for an organization, you must ensure only authorized users access it. Organization accounts: actions taken by invited members (admins, employees, contractors) are deemed the organization’s actions. You are responsible for maintaining accurate account info, managing roles, and removing users who leave.


4. Customer Content & License (No Model Training)

You retain ownership of content you submit to the Services (“Customer Content”). You grant Verycode Lab a non-exclusive, worldwide, royalty-free, revocable license to host, copy, process, transmit, and display Customer Content solely to provide, maintain, secure, and support the Services and to comply with law. We do not use Customer Content or personal data to train our models. Upon deletion or termination, we delete or de-identify Customer Content subject to short backup/archival periods and legal requirements.


5. Outputs, Human Review & Acceptable Use

  • Outputs & Human Review. The Services may generate outputs (e.g., flags, scores, classifications, recommendations). Outputs are probabilistic and may contain errors, including false positives and false negatives. You are solely responsible for evaluating Outputs and any decisions or actions based on them, and you agree to implement appropriate human review and safeguards. Do not use the Services for safety-critical or regulated decisions without independent checks.
  • Acceptable Use. You will not: violate law; infringe IP or privacy rights; upload malicious code; attempt to probe or break security; scrape, brute force, or circumvent technical limits; or use the Services to create or disseminate illegal content, spam, or abusive material. You will respect any rate limits and fair-use rules we publish.

6. Third-Party Services & Integrations

Some features may rely on third-party services or integrations. Their terms and privacy practices apply to their components. Verycode Lab is not responsible for third-party services and does not control their availability or behavior.


7. Payments & Plans

  • Web payments. Payments for web plans are processed by a payment provider; Verycode Lab does not store full card numbers. Applicable taxes are your responsibility.
  • Direct invoices. For organization plans paid by invoice, payment terms are as stated in the order/checkout. We may suspend the Service for late or failed payments.
  • Trials & cancellations. Trials and free tiers may be limited. Unless required by law or we materially fail to provide the Service, fees are non-refundable once a billing period starts.

8. Confidentiality

Each party may receive non-public information from the other. Each will protect the other’s confidential information using reasonable measures and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from third parties. We may disclose if required by law, with notice where legally permitted.


9. Privacy

Your use of the Services is also governed by our Privacy Policy. When we process personal data on behalf of an organization customer, we do so only on their instructions and under our contract with them.


10. Intellectual Property; Feedback

We and our licensors own all rights in the Services. Except for the rights expressly granted, these Terms do not transfer any Verycode Lab IP. If you give us feedback or suggestions, we may use them without restriction or obligation to you.


11. Service Changes & Availability

We may modify or discontinue features. We strive for high availability but do not promise uninterrupted operation unless an applicable plan includes an SLA. We may suspend the Services immediately to address security, abuse, or legal risks.


12. Disclaimers

The Services and all Outputs are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services or Outputs will be error-free or meet your requirements.


13. No Liability for Output-Related Losses

To the fullest extent permitted by law, Verycode Lab will not be liable for any loss, damage, costs, or expenses arising from or relating to Outputs (including false positives or false negatives), recommendations, or decisions made or not made in reliance on the Services or Outputs.


14. Limitation of Liability

To the extent permitted by law, each party’s aggregate liability arising out of or related to these Terms is limited to the total fees paid by you to Verycode Lab for the Services during the 12 months before the event giving rise to liability, or €0 where the Services are provided free of charge. This section does not limit liability that cannot be limited by law (including death or personal injury caused by negligence, fraud, or willful misconduct). The limitation in this section applies in addition to, and does not reinstate liability excluded under Section 13.


15. Indemnities

  • By you. You will defend and indemnify Verycode Lab against third-party claims and liabilities arising from your Customer Content, your misuse of the Services, or your breach of these Terms.
  • By us. We will defend and indemnify you against third-party claims alleging that the Services, as provided by us and used in accordance with these Terms, directly infringe a third party’s intellectual property rights. We may modify, replace, or terminate the Service to resolve a claim. This does not apply to combinations or uses not authorized by us or to your content or code.

16. Suspension, Termination & Data Export

You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, or risk to security, with notice where reasonable. Upon termination, and subject to technical feasibility, we may provide a short window to export your Customer Content; we may then delete or de-identify it consistent with our Privacy Policy and legal requirements.


17. Publicity & Marketing

Verycode Lab may use your organization’s name and logo to identify you as a customer of Skeptor (e.g., on our website and in presentations). We may reference results or outcomes in aggregate or anonymized form by default. Any identifiable case study or testimonial will require your prior written approval. You can opt out of name/logo use at any time by emailing contact@skeptor.tech; we will remove it within a reasonable time. We will not disclose your confidential information or personal data for marketing.


18. Governing Law & Venue

These Terms are governed by the laws of France, without regard to conflict-of-laws rules. The courts of Paris, France will have exclusive jurisdiction over disputes arising out of or relating to these Terms between you and Verycode Lab, and each party consents to their personal jurisdiction and venue.


19. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or through the Services) before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
